Terms of Service
These terms are the agreement between Captive Demand ("we") and the business that creates an account for Warm Handoff ("you"). By signing in, you accept them on behalf of your business. If you are an agency using Warm Handoff for a client, you confirm you have that client's authority to do so.
1. The service
Warm Handoff is a hosted admin, an embeddable booking widget, and an API that connect your website to the booking platform you already use. You configure locations, services, rules, appearance, and integrations in the admin, and place the widget on your site. The widget renders in your brand, not ours.
Appointments, availability, pricing, and payments live in your booking platform. We read from and write to it on your behalf using the credentials you provide. We do not control that platform and are not responsible for its availability, accuracy, or fees.
2. Accounts and members
You are responsible for everyone you invite to your organization and for the role you give them. Keep your sign-in method secure and tell us promptly if you believe an account has been compromised. You must be at least 18 and able to enter into a contract.
3. Your responsibilities
- Your site and your guests. You are responsible for the website the widget is embedded on, for your own privacy notice and any consents your guests must give, and for how you use the booking information the service delivers to you.
- Credentials. You may only connect booking platform accounts and integrations you are authorized to use, and you must comply with those providers' terms.
- Accuracy. Service names, prices, durations, and copy shown in the widget come from your platform and your configuration. Review them before publishing.
- Health information. The service is for scheduling. Do not configure it to collect medical history, diagnoses, or treatment details, and do not send protected health information through it unless we have signed a business associate agreement with you.
- Not for emergencies. The widget must not be presented as a way to get urgent or emergency care.
4. Acceptable use
You agree not to:
- Use the service to send spam, deceive guests, or collect data you have no right to.
- Probe, scan, or overload the service, or attempt to bypass its security or rate limits.
- Reverse engineer the widget or admin, or remove notices from them.
- Resell the service or embed the widget on sites you do not control, except as an agency acting for a client.
- Use the service in violation of any law, including consumer protection, privacy, and anti-spam laws.
5. Fees
Fees, billing periods, and any usage limits are set out in your order form or the plan you selected. Fees are due as stated there and are non-refundable except where the law or your order form says otherwise. We may change fees for a renewal term with at least 30 days' notice. Agency-managed accounts are billed to the agency.
6. Your data and our service
You own your data. Configuration, booking records, and anything your guests submit belong to you or your guests. You grant us a license to host, process, and transmit that data only as needed to provide the service and as described in our Privacy Policy.
We own the service. The admin, widget, API, documentation, and the Warm Handoff name and marks are ours. You get a non-exclusive, non-transferable right to use them while your account is active. Feedback you give us may be used without obligation to you.
Attribution. The widget can show a small "Powered by Warm Handoff" mark. Whether it is shown is a setting you control, unless your plan requires it.
7. Confidentiality
Each of us will protect the other's non-public information with reasonable care and use it only for this agreement. This does not cover information that is public, already known, independently developed, or that must be disclosed by law.
8. Availability and support
We work to keep the service available and will tell you about planned maintenance when we can. Because the service depends on your booking platform, your website, and third-party providers, we cannot promise uninterrupted operation. Support is provided by email at hello@captivedemand.com during normal business hours, unless your order form says more.
9. Disclaimers
The service is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not guarantee any booking volume, completion rate, or business outcome, and we are not a party to any transaction between you and your guests.
10. Limitation of liability
To the fullest extent allowed by law, neither of us is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility. Our total liability under this agreement is limited to the fees you paid us in the 12 months before the claim. These limits do not apply to a party's breach of confidentiality, your payment obligations, or either party's willful misconduct.
11. Indemnity
You will defend and indemnify us against third-party claims arising from your website, your content and configuration, your treatment of guests, or your breach of these terms. We will defend and indemnify you against third-party claims that the service, as provided by us, infringes their intellectual property. The indemnified party must give prompt notice and reasonable cooperation, and may not settle without consent.
12. Term, suspension, and ending
This agreement runs while you have an account. Either of us may end it with 30 days' notice, or immediately if the other materially breaches it and does not cure within 15 days of notice. We may suspend the service right away if needed to protect the service, its users, or to comply with law, and will tell you why.
When the agreement ends, the widget stops serving bookings for your account. You can export your booking records from the admin before then, and we delete your data within 30 days as described in the Privacy Policy. Sections that by their nature should survive, including 6, 7, 9, 10, 11, and 13, survive.
13. General
Governing law. This agreement is governed by the laws of the State of Tennessee, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Davidson County, Tennessee. Before filing, each party agrees to try in good faith to resolve the dispute by discussion for 30 days.
Changes. We may update these terms. We will post the new version here and update the effective date, and for material changes we will email account owners at least 15 days before they take effect. Continued use after that date is acceptance.
Other terms. This agreement, your order form, and the Privacy Policy are the entire agreement. If a provision is unenforceable, the rest stands. Neither party may assign this agreement without consent, except to a successor in a merger or sale. Notices go to the account owner's email and to hello@captivedemand.com.
